Important changes in the KRS for all companies from 15/03/2018.

Important changes in the KRS for all companies:

  • The Register of Insolvent Debtors will be liquidated;
  • In addition to board members, liquidators and proxies will also be forced to file a statement for the KRS file about your address for service. Any company registered with the National Court Register has 18 months to complete these addresses, or else the correspondence will be deemed delivered;
  • As of March 1, 2020. all applications to the National Court Register will be compulsorily submitted electronically. This includes financial statements and auditor's opinion requiring either a qualified signature or an ePUAP trusted profile signature;
  • Also, proxies (in addition to board members) will be checked by the KRS for criminal records;
  • Coercive duties in the absence of a board of directors have been expanded;
  • The scope has been expanded fines for failure to appoint a board of directors. The total amount of fines in the same case may not exceed PLN 1,000,000.00. This liability can also affect persons authorized to appoint the board of directors - even shareholders and members of supervisory boards.

The amendment law comes into force on March 15, 2018. Some of the changes, particularly regarding the electronic document facility, will take effect between April 9, 2018 and March 1, 2020.

The amendment will make life easier for entrepreneurs - it will be easier to examine the financial situation of contractors, with online access to financial data, among other things.
